Azuria Water Solutions completes strategic merger with Inframark

Azuria Water Solutions, Inc. and Inframark, LLC have officially completed their previously announced merger, combining their operations to form a more comprehensive service provider in the water infrastructure sector. Under the new structure, Inframark will continue to operate as a key brand within the Azuria umbrella.

The newly merged entity, which now generates more than $2.5 billion in annual revenue, aims to offer an integrated set of technology-driven solutions designed to help municipalities reduce costs, enhance compliance, and optimize capital investments in water management.

Azuria specializes in the maintenance and rehabilitation of water and wastewater conveyance systems, while Inframark has extensive experience in the operation of treatment plants. Together, the companies plan to tackle some of the most pressing water-related challenges facing U.S. cities, including issues of inflow and infiltration (I&I) and non-revenue water. According to the American Society of Civil Engineers, such challenges cost U.S. municipalities over $100 billion each year. Azuria estimates that it rehabilitates over 1,000 miles of pipeline annually and treats and recycles more than 13 billion gallons of water for its clients.

Rob Tullman, President and CEO of Azuria, said: “Utilities have traditionally managed pipe rehabilitation, system operations, and treatment facilities separately,” he said. “We’ve brought together the people, technologies, and expertise to provide a more holistic solution, helping municipalities extend the life of their infrastructure while avoiding the costly need for new treatment facilities.”

The company’s strategy includes a significant focus on employee development, with Azuria employing over 7,000 workers. The company’s technology investments, including a proprietary suite of robotic, artificial intelligence, and mechanical innovations, are expected to enhance operational safety and efficiency. Azuria holds more than 100 patents related to these technologies.

“We aim to transform how municipalities maintain their critical water and wastewater systems,” Tullman added. “By leveraging data and our team’s expertise, we’re able to help clients make more informed decisions and provide ongoing services under long-term contracts.”

Azuria will continue to be owned by funds managed by New Mountain Capital, L.L.C., which also played a key role in funding the merger. The deal, with an enterprise value of $5.5 billion, is one of the largest infrastructure services-focused transactions to date. Azuria will now have access to additional capital to support its growth initiatives.

New Mountain Managing Directors Joe Delgado and Lars Johansson emphasized the value creation potential in the merger. "Azuria and Inframark have been strong performers under our ownership, and we see significant opportunities ahead as the company executes its combined strategy,” they said.
