Following the selection process by the Nominating, Compensation and Governance Committee, the Board of Directors of SUEZ decided unanimously in a meeting to submit Mr. Philippe Varin’s nomination as Director to the vote of the Shareholders Annual General Meeting on May 12. The Board of Directors of SUEZ will nominate, subject to approval at the Annual General Meeting, Mr. Philippe Varin as Non-Executive Chairman of the Board, replacing Mr. Jean-Louis Chaussade whose term as Chairman of the Board of Directors will end at the conclusion of the May 12, 2020, Annual General Meeting. The Board will submit to the Annual General Meeting an amendment of the company’s statutes in order to allow Mr. Varin complete his mandate as Chairman during the full term of his office as Director.
